1. Acceptance of Terms

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Upper Lake Lending.

2. Description of Service

Upper Lake Lending is a platform that connects users seeking loans ("Borrowers") with potential lenders ("Lenders"). We provide a matching service and do not directly provide loans. We are not a lender, and we do not guarantee loan approval or specific loan terms.

3. Eligibility

To use the Service, you must be at least 18 years old and have the legal capacity to enter into a binding contract. You must also reside in a jurisdiction where the Service is available. The Service is not available to users in certain locations due to legal restrictions.

4. User Accounts

• 4.1 Account Creation: To access certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• 4.2 Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
• 4.3 Account Termination: We reserve the right to terminate or suspend your account at any time for any reason, including, but not limited to, a violation of these Terms.

5. User Responsibilities

• 5.1 Accurate Information: You are solely responsible for the accuracy of the information you provide through the Service, including loan applications and profiles.
• 5.2 Compliance with Laws: You agree to comply with all applicable laws and regulations when using the Service. This includes, but is not limited to, laws related to lending, credit, and data privacy.
• 5.3 Prohibited Activities: You agree not to engage in any of the following prohibited activities:
  • Providing false or misleading information.
  • Using the Service for any illegal or unauthorized purpose.
  • Attempting to access or collect personal information of other users.
  • Interfering with the proper functioning of the Service.
  • Posting content that is offensive, defamatory, or violates the rights of others.

6. Lender and Borrower Interactions

• 6.1 Matching Service: We provide a platform for matching Borrowers and Lenders. We are not responsible for the terms of any loan agreements or the conduct of any Lenders or Borrowers.
• 6.2 Loan Agreements: Any loan agreement entered into between a Borrower and a Lender is solely between those parties. We are not a party to any such agreement.
• 6.3 Disputes: We are not responsible for resolving disputes between Borrowers and Lenders. Any such disputes must be resolved directly between the parties involved.

7. Intellectual Property

The Service and its content, including, but not limited to, text, graphics, logos, images, and software, are the property of Upper Lake Lending or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use any content from the Service for commercial purposes without our express written consent.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties of any kind, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

9. Limitation of Liability

In no event shall Upper Lake Lending, its affiliates, or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your use of the Service.

10. Indemnification

You agree to indemnify and hold harmless Upper Lake Lending, its affiliates, and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Service or your violation of these Terms.

11. Modifications to the Terms

We reserve the right to modify these Terms at any time. We will post the revised Terms on the Service and update the "Last Updated" date. Your continued use of the Service after the posting of revised Terms constitutes your acceptance of the changes.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Tribal Jurisdiction, without regard to its conflict of law provisions.
